📋 Description

• Join COVU as General Counsel – Insurance Agency Acquisitions. • Provide practical, business-savvy legal support for acquisition strategy. • Lead legal work on insurance agency acquisitions, including structuring deals, due diligence, and regulatory compliance. • Draft, review, and negotiate NDAs, LOIs, asset purchase agreements, employment contracts, and producer agreements. • Manage external legal costs, working with law firms only when necessary. • Advise on insurance licensing, regulatory filings, and compliance with state and federal laws (preferred but not mandatory). • Provide legal guidance on general corporate matters, including entity structuring, governance, investor relations, and fundraising. • Ensure smooth post-acquisition transitions, including legal liability management and licensing transfers. • Identify and mitigate legal risks while keeping transactions business-friendly.

🎯 Requirements

• J.D. from an accredited law school + active U.S. bar membership. • 5-10+ years of experience in M&A, ideally with small-to-mid-sized business acquisitions. • Strong understanding of deal structuring, due diligence, and contract negotiation. • Experience in financial services or regulated industries (preferred but not mandatory). • Ability to think practically—focusing on solutions rather than legal perfection. • Comfortable working independently in a lean, high-growth environment. • Experience with external law firm management and cost control. • Experience with startup legal issues, such as fundraising, venture capital, corporate structuring, and governance (preferred but not required). • Prior in-house experience (preferred but not required).
