• The Law Clerk assists all members of the in-house legal department. • The Law Clerk is responsible for assisting with corporate matters, including contract preparation and review, corporate governance matters, compliance and policy issues, litigation, brokerage matters, and general legal research. • Essential Responsibilities: Prepare, review and revise contracts with clients (including, management agreements, consulting agreements, and subordination agreements) and third-parties (including, vendors and suppliers, information technology, and office leases). • Research, draft, review, and revise memoranda on real estate management industry specific topics. • Assist in maintaining corporate governance functions, including, maintaining corporate minute books, preparation of corporate documents, such as articles of incorporation, certificates of formations, operating agreements, bylaws, partnership agreements, notices, corporate resolutions, and written consents of directors, officers, and managers. • Research legal compliance issues at federal, state, or local level and compile guidelines and summaries. • Research Real Estate Brokerage issues at federal, state, or local level and compile guidelines and summaries. • Assist with litigation, arbitration, and insurance matters, including production of documents in the discovery process. • Assist with other projects and programs as requested. • Perform administrative functions including filing documents, performing word processing functions, correspondence and courtesy copies, and maintaining calendar deadlines.
• Enrolled as an active student in Juris Doctor program at ABA accredited law school. • Demonstrated ability to read, write, and communicate effectively to prepare and explain compliance reporting to key business leaders and the Company’s support and functional groups. • Demonstrated proficiency in word processing, spreadsheet, SharePoint, in a paperless environment in order to complete required memoranda and reports. • Demonstrated analytic capabilities, ability to meet compressed deadlines and delivery of quality results. • Ability to develop and manage project work plans and timelines. • Understand complex legal concepts and terminology. • Knowledge of the rules of confidentiality and privilege. • Familiarity of search engines for corporate and licensing filings and ability to perform legal research. • Ability to work independently and in a self-directed fashion. • Bachelor’s degree. • Prefer strong business background and/or joint MBA/JD program, experience in corporate governance, contract, general corporate, compliance matters, or corporate litigation.
