• This is a remote position. • Embrace Software Inc. is on an exciting growth trajectory, with a keen focus on strategic acquisitions to fuel its expansion. • As a Finance Manager within the M&A Due Diligence team, you will play a crucial role in leading the financial planning & analysis and evaluation of potential M&A transactions, providing insights to guide strategic decision-making. • This is a high-visibility role with opportunities to collaborate directly with the C-suite and senior executives across multiple functional areas. • Lead Financial Due Diligence: Oversee and manage the financial due diligence process for potential M&A opportunities, ensuring comprehensive financial analysis, risk assessments, and evaluations of financial statements. • Team Leadership: Supervise and mentor financial analysts within the due diligence team, ensuring accurate financial modeling, valuation, and reporting on M&A transactions. • Financial Modelling & Valuation: Lead the development of detailed financial models, including complex valuation models, scenario analysis, and sensitivity analysis to assess potential acquisition targets. • Collaboration Across Teams: Act as a primary liaison between the M&A team, business development, Accounting, legal, operations, and executive leadership to assess strategic fit and synergies, as well as identify key risks and opportunities related to target acquisitions. • Post-Acquisition Integration Support: Monitor and track post-acquisition integration efforts, providing financial oversight and ensuring alignment with strategic objectives and expected synergies. • Investor Reporting & Presentation: Oversee the preparation of financial reporting materials for internal and external stakeholders, including periodic investor reports, board presentations, and updates to the C-suite. • Special Corporate Initiatives: Work closely with the CEO’s office on high-priority corporate initiatives, providing financial insights and strategic recommendations to support ongoing hyper-growth initiatives. • Process Improvement: Drive continuous improvements to financial models, due diligence processes, and reporting templates, ensuring best practices in financial analysis and M&A evaluation. • Ad-Hoc Analysis & Decision Support: Provide ad-hoc financial analysis, scenario planning, and reporting to support strategic decision-making by senior leadership.

🎯 Requirements

• Bachelor’s degree in Finance, Accounting, or a related field; an MBA or other relevant advanced degree is a plus. • 8+ years of experience in M&A, corporate finance, or financial consulting, with at least 2 years of experience managing financial due diligence processes. • Proven ability to lead a team and collaborate effectively with senior executives and cross-functional teams. • Advanced proficiency in financial modeling, valuation, and financial forecasting, with an emphasis on M&A transactions. • Experience in the software or technology sectors is highly preferred, as it provides a strong foundation for understanding industry-specific financial metrics and deal structures. • Exceptional interpersonal and communication skills, with the ability to present complex financial information to diverse audiences, including C-level executives. • Strong analytical and problem-solving abilities, with a deep understanding of financial statements, risk assessment, and due diligence best practices. • Strong attention to detail, with the ability to work in a fast-paced environment and manage multiple high-priority projects simultaneously. • Demonstrated ability to work independently, take ownership of projects, and deliver results under minimal supervision.
