📋 Description

• Overseeing and managing all SEC public company-related matters. • Prepare and review SEC filings, including Forms 10-K, 10-Q, 8-K, Section 16 filings, and proxy statements. • Develop, implement, and maintain policies and procedures to ensure SEC compliance. • Advise stakeholders regarding finance and capital markets transactions. • Provide legal counsel on day-to-day operations. • Stay informed on updates to securities-related regulatory developments. • Evolve, refine, and manage corporate governance policies and procedures. • Maintain committee charters and other key corporate governance documents. • Assist with general corporate matters, including entity management and corporate governance. • Interface with and manage outside counsel on company matters. • Complete special projects as assigned by General Counsel. • Draft, review and negotiate customer contracts and third-party agreements.

🎯 Requirements

• Juris Doctor (JD) from an ABA accredited law school. • Active license to practice law in one of the 50 states or District of Columbia. • Minimum of five years of experience as a corporate attorney, with responsibility for compliance with SEC regulations. • Knowledge of Sarbanes-Oxley, related legislation, and related FASB revenue recognition guidelines. • Excellent written and verbal communication skills. • Ability to effectively manage multiple tasks and prioritize workload in a fast-paced environment. • Strong analytical, problem-solving, and decision-making skills. • Proven track record of providing sound legal advice and counsel to businesses in the technology industry. • Knowledge of healthcare computer software industry is preferred. • Experience in directing litigation strategy.
