• Please note: Only U.S. candidates located in the Eastern time zone will be considered due to team time zone differences. • Booksy connects beauty, wellness and health professionals with local customers, powering millions of appointments annually. • Our vision is to be the destination for scheduling, empowering service providers to thrive and consumers to discover and book services. • Consumers love Booksy, with a 4.9+ app rating in the App Store & Google Play, and providers gain peace of mind when they use Booksy Biz to manage their small businesses. • As a Booksy employee, you’ll join a team of 800+ around the world building the fastest growing appointments marketplace. • Regardless of the position you hold, you’ll make a direct impact every day helping our providers grow their businesses and build loyal client relationships in their communities. • Our inclusive, remote-first team operates with a shared commitment to our values: People first, Act like an owner, Work as a team, Shoot for the moon. • In anticipation of increasing scale and complexity of our business, we are seeking a Corporate and Securities Counsel to provide legal guidance on a variety of corporate matters. • You will provide legal advice on corporate governance, equity, and securities matters. • Offer guidance and coordinate support for fundraising efforts, including venture capital financings and private secondary market transactions. • Draft and manage legal documentation such as resolutions, stock transfer agreements (STAs), minutes, and other forms of corporate communication. • Advise on company reporting, governance, management, strategic transactions, and other corporate projects and challenges. • Collaborate with internal stakeholders, in-house counsel, external advisors, and external stakeholders. • Oversee the circulation and archiving of legal documentation. • Perform other duties as reasonably assigned.

Requirements

• 5+ years of proven experience in Delaware General Corporation Law (DGCL), U.S. corporate law, and securities matters (as an independent or leading advisor). • J.D. from an accredited U.S. law school (a must) • A hands-on approach with meticulous attention to detail. • Excellent communication skills and a high degree of independence and initiative. • A practical, business-minded perspective, delivering real-world, pragmatic advice. • Comfort with technology, the ability to quickly integrate into the company’s tech platforms, and experience working with non-traditional legal workflows.
