📋 Description

• Manage corporate governance and international corporate structure. • Lead board and committee governance, including preparation of materials and corporate records. • Support M&A transactions, financing activities, and strategic partnerships, including due diligence and contract negotiations. • Support management and implementation of global employee equity programs. • Ensure compliance with corporate policies and industry regulations. • Advise HR and leadership on employment law matters, including hiring, compensation, benefits, employee relations, and terminations. • Develop and maintain employment policies and handbooks to align with federal, state, and international labor laws. • Manage employment-related disputes, claims, and litigation in collaboration with outside counsel.

🎯 Requirements

• Juris Doctor (J.D.) from an accredited law school; active bar membership in good standing. • 7+ years of experience in corporate and employment law, preferably in-house at a technology or AI-driven company or at a leading law firm. • Expertise in corporate governance, securities law, and employment regulations (U.S. and international preferred). • Experience handling employment-related disputes, investigations, and compliance matters. • Ability to work in a fast-paced, high-growth environment with strong business acumen. • Excellent negotiation, drafting, and communication skills. • Ability to collaborate cross-functionally and influence decision-making at all levels.
