Description

• Manage corporate legal affairs for the organization • Provide legal counsel to the organization, President, Executive Vice Presidents, Board of Directors, and senior team • Directly provide in-house legal services and manage provision by outside counsel when necessary • Advise Executives and Board of Directors on governance practices • Handle organizational legal issues by drafting resolutions and handling compliance • Participate in strategic planning and day-to-day matters • Provide strategic direction on protection of intellectual property • Maintain organization’s Articles of Incorporation and Bylaws • Direct responses and make recommendations on legal actions involving the organization • Provide guidance on employment, risk management, insurance, and volunteer liability issues • Represent the organization to internal and external audiences • Counsel on interpreting laws, regulations, and court decisions affecting the organization • Serve as internal legal counsel to ensure compliance with laws • Coordinate organization compliance functions as part of risk management • Oversee contract function and standards for legal documents • Counsel on legacy gifts and fund development matters • Maintain awareness of laws affecting NILC and NILC IJF operations • Prepare and file registrations and disclosures required under state laws

Requirements

• Juris Doctorate and member in good standing of a State Bar • Service as General Counsel or Associate General Counsel of non-profit organization or in-house counsel agency strongly preferred • Minimum of 12 years of practical legal experience working in a cross-cultural setting, preferably in the not-for-profit sector • 5-10 years of supervisory experience in the legal field • Skills in managing a department in a complex and diverse organization • Understanding of finance, contracts, compliance, procurement • Strong interpersonal skills with the ability to collaborate, facilitate discussion, and build consensus • Computer literacy, including word processing, database, spreadsheet, collaboration, and internet applications (Microsoft Office Suite)
