Description

• Review, draft, redline and negotiate technology-related commercial contracts, primarily SaaS agreements, software and data licenses, and data processing agreements. • Coordinate with sales and operations teams on customer contracting processes, including by evaluating proposed contract revisions against internal standards. • Own and maintain progress tracking as it relates to the contract redline lifecycle. • Analyze commercial contracts and IP licenses in connection with M&A due diligence and evaluate risks. • Develop and maintain an understanding of Teamworks’ day-to-day functions and its products, services and technology as each relate to legal operations. • Assist with capitalization recordkeeping and corporate documentation for global subsidiaries. • Review regulatory compliance documents for government contracts and data transfers.

Requirements

• Bachelor’s degree. • Law degree preferred. • 2-5+ years of relevant experience, ideally with some gained at a business-to-business software provider or other technology company. • Software licensing experience, including with B2B SaaS products and data platforms.
