β€’ Lead the drafting, review, and negotiation of high-impact customer, licensing, and partnership agreements, aligning them with overarching business goals while mitigating risks. β€’ Develop and manage an efficient contract life cycle to balance strategic business objectives with effective risk management. β€’ Serve as a key advisor to Sales and Finance leadership, providing strategic guidance on complex commercial and financial operations. β€’ Obtain and maintain a comprehensive understanding of the company’s products (current and emerging) and become a subject matter expert and advisor on relevant regulatory regimes. β€’ Oversee the development and execution of a comprehensive compliance strategy, ensuring alignment with industry standards and regulations, including AI, privacy, security, and frameworks such as SOC 2 and GDPR. β€’ Deliver training programs to internal stakeholders and establish policies and best practices for compliance. β€’ Partner closely with technical, product, internal, and commercial teams to proactively manage risks, identify legal issues, and drive decision-making. β€’ Provide strategic support during fundraising efforts, assist with due diligence, build data rooms, and ensure financing documents are accurate and complete.

Requirements

β€’ Juris Doctor (JD) degree from an accredited law school and admission to the bar. β€’ Minimum of 10 years of experience in commercial law, with a strong background in contracts, negotiations, and compliance. β€’ Proven track record of managing complex commercial transactions and providing strategic legal advice to senior leadership. β€’ Expertise in drafting, reviewing, and negotiating a wide range of commercial agreements, including vendor, customer, and partnership contracts. β€’ Strong understanding of regulatory requirements and the ability to ensure compliance with relevant laws and regulations. β€’ Excellent communication and interpersonal skills, with the ability to build relationships and influence stakeholders at all levels. β€’ Demonstrated ability to manage a team of legal professionals and collaborate effectively with other departments. β€’ Experience in handling mergers and acquisitions, including due diligence, transaction structuring, and integration. β€’ High ethical standards and a commitment to maintaining confidentiality and integrity in all legal matters.
