• As an Associate Corporate Counsel, you will play a vital role in managing the full contracting life cycle, including drafting, negotiating, reviewing, and researching to mitigate risk and support company objectives • Oversee the preparation, negotiation, and execution of various contracts, including service agreements, data use agreements, non-disclosure agreements (NDAs), vendor agreements, and other corporate legal documents • Identify and mitigate legal risks associated with contracts and business transactions, ensuring compliance with applicable laws, regulations, and company policies • Continuously assess and improve contract terms, templates, and processes to align with evolving legal and business needs • Develop strategies to optimize contract efficiency and reduce potential liabilities • Conduct legal research on relevant laws, regulations, and industry standards • Provide practical and strategic legal guidance to internal stakeholders on contract-related issues, corporate governance, compliance matters, and risk mitigation • Educate and train managers, executives, and other employees on contracting policies, regulatory requirements, and best practices to enhance compliance and minimize legal exposure • Work closely with business units, finance, procurement, IT, HR, and other departments to ensure legal considerations are incorporated into company operations and decision-making • Assist in ensuring the organization remains compliant with federal, state, and industry-specific regulations • Support corporate governance initiatives and assist with policy development • Support the resolution of contract disputes and claims • Collaborate with external counsel when necessary to handle litigation, regulatory inquiries, or other legal proceedings • Assist with various in-house legal matters, including employment law issues, intellectual property concerns, data privacy, mergers and acquisitions, and corporate transactions as needed
• Juris Doctor (JD) degree from an accredited law school with strong legal drafting and analytical skills • Active license to practice law in a U.S. state or eligibility for admission within six months of hire • One (1) or more years of relevant legal experience, preferably in corporate law, contract negotiation, or a related field • Strong project management skills with the ability to handle multiple priorities independently in a fast-paced environment • Exceptional attention to detail and organizational skills, with the ability to analyze complex legal issues and provide clear guidance • Excellent verbal and written communication skills, including the ability to convey legal concepts to non-legal stakeholders • Proficiency in Microsoft Office Suite (Word, Excel, Outlook, and PowerPoint) and familiarity with contract management systems or legal research tools • Healthcare experience (HIPAA/privacy) and experience negotiating contracts with outside counsel is a plus
