Description

• Act as primary point of communication between the Board of Directors and executive management team • Oversee the preparation, distribution, and presentation of materials for Board and Committee meetings • Record accurate minutes of Board meetings and maintain confidentiality of all proceedings • Maintain and update corporate records, including minutes, resolutions, and filings • Oversee the maintenance of corporate ownership registries • Maintain updated lists of corporate officers, directors, governors, and authorized signers • Ensure that Board Committee charters are reviewed, updated, and compliant • Oversee the timely filing of required legal documents • Collaborate with internal teams to ensure accurate corporate ownership data

Requirements

• Bachelor’s degree in business administration, Law, or a related field degree • 5+ years of experience in a corporate governance, corporate secretarial, or similar role • Strong knowledge of corporate governance, legal, and regulatory requirements for financial institutions • Excellent organizational skills with attention to detail • Strong written and verbal communication skills • Ability to maintain confidentiality and handle sensitive information with integrity • Proficiency with governance and record-keeping software tools • Familiarity with financial services industry regulations • Experience in supporting KYC, AML, or other compliance-related processes • Certification or membership with governance bodies such as ICSA is a plus
