Description

• The Securities and Corporate Counsel provides comprehensive securities and corporate law advice to the company and its legal and finance teams. • Oversees outside counsel, and performs a wide variety of legal duties. • Lead the company’s U.S. securities law function including U.S. Securities and Exchange Commission (SEC) and Financial Industry Regulatory Authority (FINRA) matters. • Work closely with the legal and finance functions, and manage outside counsel on SEC filings. • Assist with management of the company’s insider trading policy and staff training on this policy. • Assist the finance and legal teams with internal compliance programs. • Monitor SEC regulations and Delaware corporate law, advising the company’s executives. • Advise on intracompany transactions and corporate structure, drafting agreements. • Oversee corporate governance for the parent company and subsidiaries. • Support the Corporate Secretary in management of corporate records. • Establish processes to support compliance with legal and regulatory requirements. • Collaborate with Investor Relations, Human Resources and legal team for stockholder communications.

Requirements

• 5+ years of experience in U.S. securities law for public companies, including expertise in the Securities Act of 1933, the Securities Exchange Act of 1934, and the Sarbanes-Oxley Act of 2002. • 5+ years of experience in corporate law, with an emphasis on Delaware law. • Juris doctor degree from an accredited U.S. law school and an active bar admission in at least one U.S. state. • In depth knowledge of Microsoft Excel, Word, PowerPoint, and Outlook. • Excellent interpersonal, oral, and written communication skills. • Excellent writing, proofreading, and editing skills. • Sounds judgement in handling highly sensitive and confidential information. • Comfortable in a fast-paced environment with minimal direction and changing priorities.
