Description

• Lead the M&A function for the legal team. • Foster growth and expansion through acquisitions by developing strategy and structuring critical strategic transactions. • Manage risk for the business by negotiating principal deal related documents. • Realize efficiencies through leading outside counsel and cross-functional diligence teams. • Advise business leaders on legal and strategic risks and propose business oriented solutions. • Work with integrations counsel and cross-functional teams to develop integration plans, and support other post-closing matters. • Assist the Corporate Legal team on various corporate matters, including entity management, investor relations, corporate governance and securities regulations. • Own other special projects/processes as necessary and/or desired.

Requirements

• 7+ years combined corporate and M&A experience at a law firm and in-house corporate legal department. • Juris Doctor degree from an accredited law school. • US state bar active member in good standing. • Expertise in the M&A process from beginning to post-closing issues. • Comprehensive understanding of the key strategic risks and opportunities of tech M&A. • Mastery of key negotiation points and market positions for the tech industry. • Proactive and self-starter on high impact projects. • Strong curiosity for all aspects of a technology company. • Resourcefulness in seeking out and finding accurate and relevant information. • Organized and detail-oriented while juggling competing priorities. • Excellence in forming well-reasoned judgements in complex situations with limited information. • Solution-oriented mentality and the ability to make risk-based judgements. • Strong business acumen and ability to distill legal advice into actionable guidance for business partners. • Team player with an understanding of how all cross-functional teams contribute to the success of a transaction. • Effective communication with individuals at all organizational levels, including executives and senior management. • Ability to uphold the highest standards of discretion and confidentiality.
