Description

• Lead the M&A function for the legal team. • Foster growth and expansion through acquisitions by developing strategy and structuring for critical strategic transactions and negotiating alongside Corporate Development on behalf of the business. • Manage risk for the business by negotiating principal deal related documents. • Realize efficiencies through leading outside counsel and cross-functional diligence teams. • Advise business leaders on legal and strategic risks and propose business oriented solutions. • Work with integrations counsel, the Integrations Management Office, and cross-functional teams to develop realistic and healthy integration plans, and support other post-closing matters. • Assist the Corporate Legal team on various other corporate matters, including entity management, investor relations, corporate governance and securities regulations. • Own other special projects/processes as necessary and/or desired.

Requirements

• 7+ years combined corporate and M&A experience at a law firm and in-house corporate legal department • Juris Doctor degree from an accredited law school • US state bar active member in good standing • Expertise in the M&A process from beginning to post-closing issues • Comprehensive understanding of the key strategic risks and opportunities of tech M&A • Mastery of key negotiation points and market positions for the tech industry • Proactive and self-starter on high impact projects • Strong curiosity for all aspects of a technology company • Resourcefulness in seeking out and finding accurate and relevant information • Organized and detail-oriented while juggling competing priorities • Excellence in forming well-reasoned judgements in complex situations with limited information • Solution-oriented mentality and the ability to make risk-based judgements • Strong business acumen and ability to distill legal advice into actionable guidance for business partners • Team player with an understanding of how all cross-functional teams contribute to the success of a transaction • Effective communication with individuals at all organizational levels, including executives and senior management • Ability to uphold the highest standards of discretion and confidentiality
